Summary
JPMorganChase is a global financial services leader serving corporate, institutional, and government clients worldwide. This Investment Banking role supports M&A and capital markets transactions by producing client materials and leading complex valuation and financial analysis. The position also provides leadership to junior bankers and contributes to recruiting efforts.
What you'll do
- Develop content and materials for strategic client meetings related to M&A and capital markets transactions.
- Interact daily with senior team members and client management to execute transactions and evaluate strategic alternatives.
- Define, guide, and review detailed valuation analyses (e.g., DCF, trading comparables, transaction comparables, LBO).
- Define, guide, and review combination and other financial analyses for M&A transactions and pitch situations.
- Provide leadership, mentorship, and supervision to Associates and Analysts.
- Participate in graduate recruiting activities.
Requirements
Education & experience: Bachelor's degree in Business Administration, Economics, Finance, or related field plus 3 years of relevant experience; or Master's degree in the same/related fields plus 1 year of relevant experience.
Required experience (1+ year): corporate finance and accounting; public company takeover defense; executing acquisitions/sales of private and public companies, LBOs, joint ventures, divestitures and carve-outs, and spin-offs.
Additional experience (any amount): structuring M&A transactions with legal/tax considerations; buy-side, sell-side, and structured M&A execution; coordinating data-room exchanges and working with third parties (consulting, accounting, legal, banking, PR).
Drafting and reviewing transaction documents (NDAs, term sheets, offer letters, stock purchase agreements, financing agreements) and fairness opinions.
Preparing marketing materials (teasers, information memoranda, management presentations, investor relations presentations).
M&A financing solutions knowledge (revolvers, bridge loans, term loans, high-yield, convertibles, asset-backed products, private placements, rights issues).
Advanced financial modeling (three-statement operating/merger models, spin-off/divestiture models, multi-driver operating models, NOL roll-forward, consideration distribution models).
Valuation/analytics methods (DDM, APV, EVA, PV of future stock prices, DCF, LBO, comps, precedent transactions, accretion/dilution, SOTP, discount rate analysis).
Tools: Bloomberg, FactSet, Intralinks, Datasite, AlphaSense.
Conditions
- Full-time position.
- Up to 20% domestic travel to JPMC client sites.
